Term of participation

  • This (“Agreement”) sets forth the terms under which USA Hygiene Safety, Inc. using its own certified instructors (“Instructors”), will provide training services to you, your employees, members and volunteers in Hygiene Safety, COVID-19: Coronavirus Safety courses.
  • USA Hygiene Safety, Inc. provide instruction in Prevention, Hygiene, Virus safety and provide students with materials and access to equipment necessary for such instruction
  • For each Course scheduling confirm the date, time and location of the Class in a Confirmation.
  • USA Hygiene Safety, Inc. provide the number of Instructors necessary to achieve the applicable student/teacher ratio.
  • USA Hygiene Safety, Inc. provide written confirmation of Class dates, times, locations and any related changes to you.
  • USA Hygiene Safety, Inc. issue a receipt, wallet card and pledge for each Course participant who successfully completes all USA Hygiene Safety, Inc. requirements.
  • Cooperate with the USA Hygiene Safety, Inc. in scheduling training on dates and at times and locations that are mutually acceptable to you and USA Hygiene Safety, Inc.
  • USA Hygiene Safety, Inc. only schedule Classes to be conducted, and perform under this Agreement, within the United States of America and its territories (“U.S.”), as USA Hygiene Safety, Inc. is only permitted to solicit, deliver services and provide program support within the U.S.
  • Contact the USA Hygiene Safety, Inc. at least 5 business days prior to any desired Class date to request training on that date. Requests will include the name and telephone number, name of class & location.
  • For each Class you register for, you will receive an email confirmation from USA Hygiene Safety, Inc. confirming the Class details.
  • USA Hygiene Safety, Inc. provide classroom facilities for each Class having clean, safe and otherwise adequate space for participant seating and to practice Course skills, and adequate training equipment.
  • USA Hygiene Safety, Inc. Instructors ensure that students are on time to Class, engaged and present for the entire Class, it being understood that students who do not adequately participate, are not present for the entire Class will fail to meet Course objectives, will not be certified.
  • You will pay a per person fee for each student attending each Class,

  • All Payments are processed through PAYPAL only.
  • A Class may be rescheduled or canceled without charge if USA Hygiene Safety, Inc. is notified at least five (5) business days in advance of the scheduled Class time.
  • This Agreement will remain in effect until the date on which Class sufficient to accommodate the number of students are enrolled.
  • USA Hygiene Safety, Inc. may immediately terminate this Agreement if you breach this Agreement.
  • Either you or USA Hygiene Safety, Inc. may terminate this Agreement with advance written notice, email to the other party of at least thirty (30) days.
  • No refunds
  • Upon termination or expiration of this Agreement, USA hygiene Safety, Inc will immediately cease delivery of the Classes and you will be responsible for payment for all fees and reimbursable expenses incurred up until such termination or expiration date.
  • Notwithstanding expiration or any termination of this Agreement, the provisions of this Agreement will continue to govern with respect to any amounts payable to USA hygiene Safety, Inc for Courses completed prior to such expiration or termination. Our mutual obligations under
  • USA hygiene Safety, Inc below, will also survive any expiration or termination of this Agreement.
  • Notwithstanding anything in this Agreement to the contrary, neither you nor USA hygiene Safety, Inc will be liable to the other for any loss or damage arising as a result of breach, non-performance or partial performance of its obligations under this Agreement (except for the obligation to pay money when due) due to any cause beyond its reasonable control and without its fault or negligence, including but not limited to any delay or failure caused by failure, unavailability or shortage of power, materials or supplies, flood, fire, storm, other abnormally inclement weather, act of war, terrorism, riot, act or omission of government or governmental agency, strike, work stoppage, other labor unrest, inadequate voluntary donations required for the rendering of the services, other act or omission in the process of manufacture, production or supply under the control of third parties, or any other emergency.
  • Except as required by applicable law or otherwise provided herein, USA hygiene Safety, Inc and you will each maintain the confidentiality of all provisions of this Agreement or other confidential information, documents and materials received for the purposes of this Agreement.
  • Neither USA hygiene Safety, Inc nor you may use the other’s name, trademarks or other intellectual property in marketing materials, press releases, presentations, or otherwise without the advance written consent of the other party, which consent may be granted or withheld in the other party’s sole discretion.
  • Severability. In the event any provision of this Agreement is held invalid, illegal or unenforceable (any such provision, an “Invalid Provision”) in any jurisdiction, the USA hygiene Safety, Inc and you will promptly negotiate in good faith a lawful, valid and enforceable provision that is as similar in terms to such Invalid Provision as may be possible while giving effect to the future benefits and burdens accruing to either of us hereunder. But, in no way will the Invalid Provision affect the validity or enforceability of any other portion or provision of this Agreement, regardless of our ability to negotiate a new provision.
  • Independent Contractors. Each of us is an independent contractor with respect to the other, and nothing herein shall create any as-sociation, partnership, franchise, or joint venture between us or an employer-employee relationship. No agent, employee or servant of either party will be, or will be deemed to be, the employee, agent or servant of the other party, and each of us will be solely and entirely responsible for our own acts and the acts of each of our agents, employees and servants.
  • Assignment. Neither your rights nor the USA hygiene Safety, Inc rights under this Agreement may be assigned, or either of our obligations delegated, in whole or in part without the prior written consent of the other party; provided, however, that USA hygiene Safety, Inc use from time to time of Instructors who are volunteers or employees of third parties to furnish Course instruction under this Agreement does not constitute a delegation of USA hygiene Safety, Inc., obligations under this Agreement and will not require your advance consent. Any attempted assignment or delegation in violation of the foregoing will be null and void.
  • Governing Law. The Contract is governed by the laws of the State Of New York, without giving effect to its choice or conflict of law rules.
  • This Agreement constitutes the entire agreement between you and USA Hygiene Safety, Inc and supersedes all prior agreements, understandings and representations, both written and oral, between us with respect to the subject matter of this Agreement. Amendments, addenda and waivers to this Agreement will be effective only if made, in each case, by a non-preprinted document clearly understood by both USA Hygiene Safety, Inc. and you to be an amendment, addendum or waiver, as the case may be. Any additional or different terms or conditions contained in any purchase order, confirmation, receipt, invoice, click-through agreement, or similar documents will not be binding on either USA hygiene Safety, Inc or you, whether or not such terms and conditions would materially alter this Agreement (and even if the receiving party has signed or otherwise acknowledged a confirmation, receipt, agreement, or similar document), and each of us hereby rejects all such additional or different terms and conditions.
